Board of Directors
The Board
The company is directed by its two promoter directors, both named as First Directors in the Articles of Association.

Director
Promoter of the company. Responsible for overall direction, commercial strategy and the development of the company's ventures.
Mrs. Rajani Ambekar
Director
Promoter of the company. Responsible for administration, people and operating standards across the company's centres.
Governance

A small private company is not exempt from doing things properly. These are the regimes that apply to us and the disciplines we hold ourselves to.
Corporate law
Board meetings, minutes, statutory registers, annual return in Form MGT-7A and financial statements in Form AOC-4, filed within the timelines under the Companies Act, 2013.
Audit and accounts
Books of account maintained under Section 128. Statutory auditor appointed under Section 139. Accounts prepared to give a true and fair view.
Taxation
Registration and periodic returns under the Central and Maharashtra Goods and Services Tax Acts, income tax, tax deducted at source and professional tax.
Establishment and labour
Registration under the Maharashtra Shops and Establishments Act, 2017, together with applicable provident fund, employees' state insurance and wage legislation as thresholds are crossed.
Workplace safety
Policy against sexual harassment and, on crossing the statutory threshold, an Internal Committee constituted under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013.
Data protection
Personal data of employees and enquirers handled on a notice and consent basis, consistent with the Digital Personal Data Protection Act, 2023.
Business relationships.
The company's first venture, its Pune centre, is operated under a franchise agreement with the owner of the AURAVY SPA brand. The company is an independent legal entity. It is not a subsidiary, agent or joint venture partner of the franchisor, and the franchisor is not responsible for the obligations of the company.
That arrangement relates to one venture only. The company may undertake further wellness businesses, whether owned outright, operated under franchise, or developed in partnership, within the objects of its Memorandum of Association.
